Incorporating a Business in Alberta
When incorporating a business, you have two options: choosing a unique name for your company or opting for a computer-generated numbered company. If you choose a numbered company, no name search report (NUANS) is required. However, if you prefer a named company, an Alberta NUANS report is mandatory.
Important Notes:
- Non-Profit (Society) and Federal Level Searches: These must be done in person at the registry.
- NWPTA Registrations: If you are a registered corporation in BC or Saskatchewan and wish to extra-provincially register in Alberta, please contact your province’s agent, as you fall under the New West Partnership Trade Agreement (NWPTA). A NUANS report may not be necessary.
NUANS Report Overview:
Using names identical or similar to already existing ones is prohibited. The NUANS report lists existing names and trademarks that might prevent your desired name from being available. When you search a name through Lethbridge Registry, a qualified agent will review this list on your behalf and include a letter with the NUANS, detailing their recommended action.
Company Name Components:
When ordering your Alberta NUANS report, your company name must include the following three components:
- Distinctive Element:
- This word or phrase sets your company apart from its competitors.
- Example: Herbert’s Auto Repairs Ltd.—the word “Herbert’s” makes the company name unique.
- Descriptive Element:
- This indicates the type of services your company offers.
- Example: Herbert’s Auto Repairs Ltd.—the term “Auto Repairs” clearly informs potential customers about the nature of your business.
- Legal Element:
- All incorporated companies must end with a legal element that signifies they are a unique legal entity.
- Example: Herbert’s Auto Repairs Ltd.
- Limited or Ltd.
- Corporation or Corp.
- Incorporated or Inc.
